These Vendor Terms & Conditions outline the guidelines and expectations for participating at Green Acres.
They help us keep things fair, fun, and running smoothly for everyone involved.

1. The "Business" is referring to Green Acres
2. The "Client" is referring to the food & beverage (or other goods) vendor, the recipient of this contract.
Definition of Terms
Permission to Operate - Pop-up Vendor
Backspace LLC dba Green Acres ("Green Acres") grants the Client permission to operate their business within a designated vendor space on the Green Acres property during their approved reservation date(s).
Client may only set up and conduct sales within the location assigned by Green Acres. Vendor space assignments will be communicated in advance when possible; however, locations may be adjusted as needed to accommodate park layout, events, safety considerations, or operational needs.
Green Acres reserves the right to relocate vendor spaces at its sole discretion in order to maintain proper park flow and accommodate other activities on the property.
Client agrees to operate during the scheduled date and time associated with their reservation at Green Acres.
The client should arrive with sufficient time to complete setup before their scheduled operating window and remain open for the full duration of their reserved shift unless otherwise approved by Green Acres.
If the client is unable to attend their scheduled date, they must notify Green Acres as soon as possible. Repeated cancellations or no-shows may affect eligibility for future vendor bookings.
Green Acres reserves the right to adjust operating hours, vendor schedules, or event programming as needed due to weather, safety concerns, special events, or operational needs.
Operating Schedule - Pop-up Vendor
Operations and Site Policies - Pop-up Vendor
Client is responsible for determining the pricing of their products while operating at Green Acres. The client may not add service fees, surcharges, or any other customer fees that reference or appear to be required by Green Acres, the Green Acres team, or the property ownership.
The client must operate within the designated boundaries of their assigned vendor space. Additional signage, tables, displays, coolers, racks, or other physical items placed outside of the assigned vendor area are not permitted without prior approval from Green Acres Management. Green Acres reserves the right to decline or request removal of any signage, decorations, displays, or other objects that are visible to guests if they do not align with park aesthetics, site layout, guest flow, or city guidelines.
The client may not sell alcohol at any time. The client may also not sell ice cream or lemonade in order to avoid conflicts with the on-site ice cream shop offerings.
The unlawful possession, use, distribution, dispensation, sale, or manufacture of drugs or alcohol is strictly prohibited on Rivershore Development property, including Green Acres.
If the client plans to offer products or menu items that differ significantly from what was originally communicated during the application or booking process, the updated offerings must be shared with Green Acres in advance for approval. This helps ensure there is no overlap with existing vendors or scheduled partners.
The client is expected to conduct their operations in a sanitary, professional, and orderly manner and must not create disturbances or disruptions for guests, neighboring vendors, or the property.
The client is responsible for maintaining and cleaning the area surrounding their booth or setup space. All vendor areas must be left in the same condition in which they were found.
Green Acres maintains a smoke- and tobacco-free policy for all indoor and outdoor areas of the property. The client agrees to follow this policy and help maintain a safe, welcoming environment for guests, vendors, and staff.
The client may not play amplified music, host performances, or organize activities or events without prior written approval from Green Acres.
Green Acres cannot be designated as a delivery or storage location for vendor inventory unless explicitly approved in writing by Green Acres Management. Clients are responsible for managing their own deliveries, storage, and inventory.
The number and placement of vendors on any given day is determined solely by Green Acres.
Client agrees to comply with all applicable local, state, and federal laws, regulations, and ordinances, as well as all rules and policies established by Green Acres, related to the operation of their business within the designated vendor area.
Applicable Laws - Pop-up Vendor
That in the case the property or any adjacent buildings or structures or part thereof shall be destroyed, damaged or deemed unusable by fire or any other cause, or if any other casualty or unforeseen occurrence shall render the fulfillment of the Contract at the property impossible, including, without limitation thereto, condemnation, and/or eminent domain and/or the requisitioning of the premises (Location/Grounds) by the United States Government, and/or State Government or any arm or instrumentally thereof, or by reason of labor disputes, or act of God, then and thereupon this Contract shall terminate and, Client shall pay the fee for said Location(s) up to the time of such termination, at the rate specified.
Client hereby waives any claim for damages or compensation should this Contract be so terminated, on the foregoing basis.
Location/Grounds Disruption
In consideration of the rights granted under this agreement, the client agrees to pay the applicable vendor reservation fee for their scheduled date(s) at Green Acres.

Client agrees to follow all policies, procedures, and payment timelines outlined in the Pop-Up Vendor FAQ.
Green Acres reserves the right to adjust, waive, or modify vendor fees and related policies at its discretion. While fees typically remain consistent throughout a season, any material changes will be reflected in the Pop-Up Vendor FAQ.
Client is responsible for reviewing the most current version of the Pop-Up Vendor FAQ prior to booking or participating in vendor dates at Green Acres.
Failure to comply with payment timelines or policies described in the Pop-Up Vendor FAQ may result in late fees, cancellation of reservations, or restriction from future vendor participation at the discretion of Green Acres.

Fees & Payment - Pop-up Vendor
Amenities & Services Included - Pop-up Vendor
Green Acres provides the following amenities and services for participating pop-up vendors. Availability may vary depending on the day and event schedule.
1. Designated Vendor Space
Each vendor will be assigned a designated vendor area within the park for their scheduled shift.
2. Access to Electricity (Limited Availability)
Electricity may be available in select vendor areas. Vendors are responsible for bringing any extension cords, adapters, or equipment needed to safely connect to available outlets.
3. Park Maintenance
Landscaping, cleaning, and general maintenance of the park are managed by the Green Acres team.
4. Shared Outdoor Amenities
Vendors and their guests may enjoy shared park amenities such as outdoor seating, lawn games, and gathering areas. Availability may vary depending on staffing and scheduled events.
5. Trash and Waste Disposal
Vendors may use the park’s dumpsters and trash services and must follow all posted disposal guidelines.
- Trash must be placed directly inside the dumpster. Do not throw trash over the dumpster barrier.
- Dumpster gates must be opened and trash must be placed inside in tied garbage bags.
- Trash must be related to business operations only. Personal trash is not permitted.
- Trash may not be placed on the ground near dumpsters.
- Trash may not be piled on top of dumpsters or cause overflow.
- Recycling bins must be used correctly. Vendors may be responsible for contamination or service fees caused by improper use.
6. Security Monitoring
Private security periodically monitors the park throughout the day and evening.
7. Restroom Access
Vendors will have access to onsite portable restrooms and handwashing stations.
8. Marketing Exposure
Green Acres regularly promotes the park through social media, website updates, and email newsletters. Vendors may receive general exposure through these channels, along with increased visibility during live music nights and community events.
9. Team Discount
Vendor team members receive 25% off items from the Green Acres Bar and the Lemon Cow Ice Cream Shop.
- This discount is intended only for vendor staff working onsite. If the discount is shared with non-vendor guests or otherwise abused, Green Acres reserves the right to discontinue the discount and recover any associated lost sales.
Green Acres prohibits action which might result in unlawful activity including, but not limited to, rebates, kickbacks, or other unlawful considerations, and prohibit Green Acres Clients or employees from participating in the selection process when such employees have a relationship with a person or business entity seeking an agreement under this contract that would create a conflict of interest or the appearance of a conflict of interest
Conflict of interest
Client grants to Green Acres the irrevocable and unlimited right and permission to use photographs and/or video recordings of Client, Client’s intellectual property and Client’s property on each of Green Acres' social media and other Internet properties, publications, promotional flyers, marketing materials, derivative works, or for any other similar purpose without compensation or permission from Client. Client hereby releases, acquits and forever discharges Green Acres from any and all claims, demands, rights, promises, damages, and/or liabilities arising out of or in connection with the use or distribution of said photographs and/or video recordings, including but not limited to any claims for invasion of privacy, appropriation, likeness, or defamation.
